Société de droit mauricien, immatriculée au Registrar of Companies de Maurice sous le numéro , dont le siège social est situé , représentée par ( ), ci-après dénommée "la Partie Réceptrice"/ "the Receiving Party"

1. Objet / Purpose
FR : Le présent accord a pour objet de définir les conditions dans lesquelles la Partie Divulgatrice développe une application pour la Partie Réceptrice, et dans lesquelles les Parties échangent des Informations Confidentielles, notamment du code source, des données, des contacts et des informations stratégiques, dans le cadre de ce projet.

Il vise notamment à :

  • protéger le code source et les éléments techniques développés par la Partie Divulgatrice ;

  • encadrer le droit de consultation du code source par la Partie Réceptrice et/ou toute autorité gouvernementale compétente ;

  • protéger les données, contacts et informations sensibles communiqués par la Partie Réceptrice.

EN: This agreement defines the conditions under which the Disclosing Party develops an application for the Receiving Party and under which the Parties exchange Confidential Information, including source code, data, contacts and strategic information within the scope of this project.

It specifically aims to:

  • protect the source code and technical components developed by the Disclosing Party;

  • regulate the right to access and review the source code by the Receiving Party and/or any competent governmental authority;

  • protect the data, contacts and sensitive information provided by the Receiving Party.

2. Définitions / Definitions
FR : On entend par "Informations Confidentielles" :
 Le savoir-faire, les méthodes, processus internes, procédures, codes sources, scripts, API, architectures logicielles et techniques.
 Les créations graphiques, chartes visuelles, interfaces logicielles, images, photos, vidéos, designs, contenus textuels, documents marketing et commerciaux.
 Les outils, configurations techniques, infrastructures, bases de données, prototypes, modèles, plans et schémas.
 Les informations relatives aux collaborateurs, sous-traitants, prestataires, partenaires, clients et prospects.
 Les données financières, commerciales, contractuelles, juridiques ou stratégiques.
 Les informations personnelles ou techniques transmises par un prospect ou
partenaire dans le cadre des échanges.

EN: "Confidential Information" shall mean:
 Know-how, methods, internal processes, procedures, source codes, scripts, APIs, software and technical architectures.
 Graphic designs, visual identities, software interfaces, images, photos, videos, designs, textual content, marketing and commercial documents.
 Tools, technical configurations, infrastructures, databases, prototypes, models, plans and diagrams.
 Information relating to employees, subcontractors, service providers, partners, clients and prospects.
 Financial, commercial, contractual, legal or strategic data.
 Personal or technical information provided by a prospect or partner in the courseof exchanges.

Exceptions / Exceptions
FR : Ne sont pas considérées comme confidentielles les informations :
a) devenues publiques autrement que par violation du présent accord ;
b) déjà connues de la Partie Réceptrice avant leur communication ;
c) obtenues légalement d’un tiers non soumis à une obligation de confidentialité ;
d) dont la divulgation est exigée par la loi, un règlement ou une décision judiciaire.

EN: Information shall not be considered confidential if:
a) it becomes public other than through a breach of this agreement;
b) it was already known to the Receiving Party prior to disclosure;
c) it is lawfully obtained from a third party not bound by confidentiality;
d) its disclosure is required by law, regulation or court order.

3. Obligations des Parties / Obligationsofthe Parties
FR : Chaque Partie s’engage à utiliser les Informations Confidentielles uniquement pour l’objet défini et à les protéger contre toute divulgation non autorisée, en les limitant aux seules personnes habilitées et tenues par une obligation équivalente de confidentialité. EN: Each Party agrees to use the Confidential Information solely for the stated purpose and to protect it from unauthorised disclosure, limiting access to authorised individuals bound by equivalent confidentiality obligations.

4. Clause de non-contournement / Non-Circumvention

FR : La présente clause ne saurait en aucun cas limiter la capacité de la Partie Réceptrice à exploiter librement ses relations commerciales, clients, prospects, partenaires ou contacts, y compris dans le cadre de l’utilisation de l’application développée.

Toutefois, la Partie Réceptrice s’interdit de contourner la Partie Divulgatrice en ayant recours, directement ou indirectement, aux ressources, prestataires, sous-traitants ou collaborateurs identifiés et introduits par la Partie Divulgatrice, dans le but de reproduire tout ou partie des prestations réalisées, sans accord écrit préalable.

EN: This clause shall not in any way restrict the Receiving Party’s ability to freely conduct business with its clients, prospects, partners or contacts, including in connection with the use of the developed application.

However, the Receiving Party shall refrain from circumventing the Disclosing Party by directly or indirectly engaging any resources, contractors, subcontractors or collaborators introduced by the Disclosing Party for the purpose of reproducing all or part of the services performed, without prior written consent.

5. Propriété intellectuelle / Intellectual Property

FR : Le code source, les développements, architectures, méthodes et savoir-faire créés par la Partie Divulgatrice dans le cadre du projet restent sa propriété exclusive, sauf stipulation contraire dans un contrat distinct.

La Partie Réceptrice bénéficie uniquement d’un droit d’usage tel que défini contractuellement, à l’exclusion de tout droit de reproduction, modification, distribution ou exploitation non autorisé.

EN: The source code, developments, architectures, methods and know-how created by the Disclosing Party במסגרת the project shall remain its exclusive property, unless otherwise agreed in a separate agreement.

The Receiving Party is granted only a right of use as contractually defined, excluding any unauthorised reproduction, modification, distribution or exploitation.

5 bis. Accès au code source / Source Code Access

FR : La Partie Réceptrice peut être amenée à communiquer tout ou partie du code source à une autorité gouvernementale ou réglementaire.

Dans ce cas :

  • cet accès est strictement limité à un droit de consultation, d’audit ou de vérification ;

  • aucune licence, cession, reproduction, modification ou diffusion n’est autorisée ;

  • la Partie Réceptrice s’engage à informer l’autorité concernée du caractère strictement confidentiel et propriétaire du code source.

EN: The Receiving Party may be required to provide access to part or all of the source code to a governmental or regulatory authority.

In such case:

  • access is strictly limited to review, audit or verification purposes;

  • no licence, transfer, reproduction, modification or distribution rights are granted;

  • the Receiving Party shall ensure that such authority is informed of the strictly confidential and proprietary nature of the source code.

6. Protection des prospects et partenaires/Protection of Prospects and Partners
FR : Les informations reçues sur les prospects ou partenaires sont traitées comme confidentielles et ne peuvent être utilisées ou divulguées sans accord écrit, sauf obligation légale ou judiciaire.
EN: Information received regarding prospects or partners shall be treated as confidential and may not be used or disclosed without written consent, except whererequired by law or court order.

6 bis. Non-sollicitation des contacts / Non-Solicitation of Contacts

FR : La Partie Divulgatrice s’interdit, pendant la durée du projet et pendant une période de deux (2) ans suivant sa réalisation, de solliciter, contacter ou contracter directement ou indirectement avec les contacts, partenaires, clients ou prospects communiqués par la Partie Réceptrice, en vue de proposer des services ou projets équivalents ou concurrents, sans accord écrit préalable de la Partie Réceptrice.

EN: The Disclosing Party shall refrain, during the project and for a period of two (2) years following its completion, from directly or indirectly soliciting, contacting or entering into business with any contacts, partners, clients or prospects provided by the Receiving Party, for the purpose of offering similar or competing services, without prior written consent of the Receiving Party.

7. Durée / Duration
FR : Le présent accord prend effet à la date de signature et reste en vigueur 5 ans après la fin des échanges, sauf pour les secrets de fabrication où l’obligation est illimitée.
EN: This agreement takes effect on the date of signature and remains in force for 5 years after the end of exchanges, except for trade secrets, for which the obligation is perpetual.

8. Restitution / Destruction
FR : Sur demande écrite, la Partie Réceptrice doit restituer ou détruire tous les documents et supports contenant des Informations Confidentielles.
EN: Upon written request, the Receiving Party shall return or destroy all documents and media containing Confidential Information.

9. Loi applicable et juridiction / GoverningLaw and Jurisdiction
FR : Le présent accord est régi par le droit de la République de Maurice. Tout litige sera soumis aux tribunaux compétents de Port-Louis.
EN: This agreement is governed by the laws of the Republic of Mauritius. Any dispute shall be submitted to the competent courts
